Cílem této diplomové práce je realizace projektu rozdělení společnosti odštěpením se vznikem jedné nové společnosti v konkrétním závodu. Teoretická část vypracovaná na základě průzkumu literárních pramenů vymezuje typy přeměn obchodních korporací, které umožňují české právní předpisy a dále zmiňuje jejich dopad do oblasti účetnictví a daní. V praktické části je na modelovém případu nastíněn postup, jak je možné realizovat projekt rozdělení společnosti odštěpením jednak v rovině obchodněprávní, ale také účetní. Opomenuty nejsou ani daňové povinnosti vyplývající z uskutečnění přeměny pro rozdělo-vanou i nástupnickou společnost. Závěr práce je pak věnován vyhodnocení tohoto projektu, především jeho časové, administrativní a ekonomické náročnosti. |

The goal of this master thesis is the implementation of the project of the company separa-tion through the hive off process with the formation of a new company in a particular plant. The theoretical part of this master thesis has been elaborated based on the research of the literature sources and it defines the types of the transformations of the trade corporations, which are allowed by the Czech legal regulations and also it mentions the accounting and fiscal effects of such transformations. The practical part of the thesis includes a model case of the possible process of the implementation of the project of the company separation through the hive off process. Both levels are outlined there, the commercial law issues and also the accounting aspects. Besides that, there are also mentioned the fiscal obligations that the existing company and the successor company have and which emerge from the implementation of the transformation. The conclusion of the thesis deals with the evalua-tion of this project and it concerns its time, administrative and economic demands in par-ticular. |
